1. Acceptance of Terms

By accessing or using AgaveFlow™ (“Company,” “we,” “our,” or “us”) services, website, AI agents, software, products, or trial programs, you agree to be bound by these Terms of Use.

If you do not agree, you may not access or use our services.

2. Description of Services

AgaveFlow™ provides AI-powered automation solutions including but not limited to:

• AI Voice Agents

• AI SMS Agents

• Bilingual (English/Spanish) AI Agents

• Chat Agents

• CRM Automations (built on HighLevel platform)

• Lead capture and booking systems

• AI-powered qualification and sales workflows

• Trial Agent deployments

• Custom AI Agent development

Services may include integrations with third-party platforms such as:

• GoHighLevel (HighLevel)

• Twilio

• Meta (Facebook / Instagram)

• WhatsApp

• Stripe

• Website hosting platforms

AgaveFlow™ reserves the right to modify, suspend, or discontinue services at any time.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use our services.

By using our services, you represent that:

• You own or have authority over the business you represent.

• You will use services in compliance with applicable laws.

4. Free Trial Program

AgaveFlow™ may offer a Free Trial Agent deployment.

Free trial terms:

• Trial includes a prototype AI Agent configured for limited testing.

• Trial does not include unlimited usage.

• Trial access may be suspended at any time.

• Customization beyond prototype scope may require paid engagement.

• We reserve the right to approve or decline trial requests.

Free trial does not guarantee future performance results.

5. Payment Terms

Paid services may include:

• Monthly subscription fees

• Setup fees

• Custom development fees

• Usage-based fees (voice minutes, SMS credits, etc.)

You agree to:

• Provide accurate billing information

• Pay all fees on time

• Authorize recurring billing where applicable

Failure to pay may result in suspension or termination.

All fees are non-refundable unless otherwise stated in writing.

6. Client Responsibilities

You are responsible for:

• Compliance with A2P 10DLC regulations for SMS

• Obtaining consent from your customers for messaging

• Compliance with TCPA, CAN-SPAM, GDPR (if applicable)

• Maintaining accurate contact data

• Reviewing AI responses before full deployment

AgaveFlow™ is not responsible for improper usage, non-compliant campaigns, or regulatory violations caused by the client.

7. AI Disclaimer

AgaveFlow™ uses artificial intelligence technologies.

You acknowledge:

• AI responses may not always be accurate.

• AI outputs are generated based on training data and prompts.

• You are responsible for reviewing and approving deployment logic.

AgaveFlow™ does not guarantee:

• Specific revenue outcomes

• Lead volume

• Conversion rates

• Business performance improvements

8. Prohibited Uses

You may not use AgaveFlow™ services to:

• Send spam or unsolicited messages

• Conduct illegal activities

• Engage in fraudulent marketing

• Misrepresent identity

• Violate consumer protection laws

• Generate harmful, discriminatory, or deceptive content

Violation may result in immediate termination.

9. Intellectual Property

All AgaveFlow™ software, branding, systems, prompts, workflows, and proprietary AI configurations remain the property of Digital Agave AI LLC.

You may not:

• Reverse engineer systems

• Copy proprietary prompts

• Resell services without written authorization

Custom workflows created for clients remain licensed for client use but not for redistribution.

10. Limitation of Liability

To the maximum extent permitted by law:

AgaveFlow™ shall not be liable for:

• Indirect or consequential damages

• Lost profits

• Business interruption

• Data loss

• Regulatory fines due to client misuse

Total liability shall not exceed the amount paid by client in the prior 3 months.

11. Indemnification

You agree to indemnify and hold harmless AgaveFlow™, its officers, contractors, and affiliates from any claims arising from:

• Misuse of services

• Regulatory violations

• Customer disputes

• Messaging non-compliance

12. Termination

We may suspend or terminate services if:

• You violate these Terms

• You fail to pay

• You misuse AI systems

• Required compliance documentation is not provided

You may cancel subscription services per your agreement terms.

13. Third-Party Services

AgaveFlow™ integrates with third-party platforms.

We are not responsible for:

• Outages

• Pricing changes

• Policy changes

• Service disruptions

Use of third-party platforms is governed by their own terms.

14. Governing Law

These Terms shall be governed by the laws of the State of Indiana, United States, without regard to conflict of law principles.

15. Modifications

We may update these Terms at any time.

Continued use of services constitutes acceptance of updated Terms.
